隐名合伙是指当事人以订立合同的方式约定一方对他方所经营的事业出资，不参与经营，分享经营利润，并以出资为限承担经营损失的合伙。出资的一方称为隐名合伙人，经营的一方称为出名营业人。隐名合伙起源于历史上的康曼达契约，隐名合伙如今主要存在于大陆法系，在英美法系也有一些类似的制度。隐名合伙与其他相关民法概念存在一定的相似性，因此需要严格区分。我国法学界普遍认为，我国立法应该吸收隐名合伙制度，但是在具体模式上，存在很多争议。从隐名合伙的性质上看，隐名合伙契约型很强，因此我国可以考虑将隐名合伙作为一种有名契约规定于合同法中，一方面可以完善合同法体系，另一方面也可以完善合伙制度。在此前提下，可以针对隐名合伙法律制度展开详细的设计，规定各方的权利义务。

Dormant partnership refers to one person or some person make contract with others that he or they invest in the entity, but he or they do not manage the entity, but enjoy the profit and assume the limited liability. So this kind of investor is the dormant partnership, and the others is the managing partnership. Dormant partnership origins from one kind of old contract in the continent law system, in the oceanic law system, the dormant partnership does also exist. Dormant partnership is similar with other legal definition, so they should be strictly divided. The scholars in China maintain that the legislation should adopt the dormant partnership, but there are controversial issues in detail. Dormant partnership is contractual in essence, so this paper insists that the legal system of dormant partnership could be set in the contract law, and the laws should specify the partners’ rights and duties.
